Publication of merger plan relating to Sandvik entities in Poland

In accordance with applicable Polish company law, Sandvik hereby makes available the merger plan relating to the proposed merger of two Sandvik-affiliated entities in Poland.

Publication of merger plan

In accordance with the applicable provisions of the Polish Commercial Companies Code, a merger plan has been adopted regarding the proposed merger of:

  • DSI Schaum Chemie sp. z o.o., Mikołów, Poland (Acquiring Company)
  • DSI Underground Chemicals sp. z o.o., Mikołów, Poland (Target Company)

The proposed transaction will be carried out as a merger by acquisition, whereby all assets, rights and obligations of DSI Underground Chemicals sp. z o.o. will be transferred to DSI Schaum Chemie sp. z o.o.. Upon completion of the merger, the target company will cease to exist without liquidation, and the acquiring company will assume all rights and obligations of the target company.

The merger plan and related documentation have been published for information purposes and to fulfill applicable legal requirements regarding the public availability of merger documentation.
